Terms of Service

By creating an Annnimate account, purchasing a Subscription, or buying a Landmark Kit, you accept these Terms. If you do not accept them, do not use the Service.

We may update these Terms. Material changes are announced in our changelog and emailed to active subscribers at least 30 days before they take effect. Continued use after the effective date counts as acceptance. If you do not accept material changes, you may cancel your Subscription and request a pro-rated refund of the unused portion of your current term.

• Annnimate, we, us: Good Fella Studio GmbH, the company operating the Service.
• You: the individual or legal entity that accepts these Terms by creating an account, subscribing, or purchasing a Landmark Kit.
• Service: the annnimate.com website, the Library, the Landmark Kits, and related features.
• Library: the catalog of GSAP motion components made available under a Subscription.
• Landmark Kit: a stand-alone collection of motion components built around one system, sold as a separate one-time purchase.
• Subscription: a paid plan (Solo, Studio, Studio+, or any successor tier) giving access to the Library.
• Seat: a named individual person authorized to access the Service under your Subscription. Solo = 1 Seat. Studio = 5 Seats. Studio+ = 15 Seats.
• Component: any motion component, code snippet, file, or related asset in the Library or in a Landmark Kit.
• End Product: a website, application, or interactive experience you build for yourself or a client that includes Components.

You sign in with a magic link sent to your email. You are responsible for keeping your email account secure. Sharing magic links or sessions with anyone outside your authorized Seats is a breach of these Terms and may result in suspension.

You must be at least 16 years old to use the Service (the digital consent age in Germany under Article 8 GDPR). The Service is designed for professional developers and is not directed at children.

Landmark Kits are sold as separate one-time purchases. The license granted on purchase is perpetual: you may use the Kit's components in unlimited End Products, modify them, and keep them in your projects forever. The prohibitions in Section 4.2 apply equally to Landmark Kit components.

A Landmark Kit purchase is independent of any Subscription. Your rights to the Kit do not end when a Subscription ends and your rights to the Library do not extend to any Kit you did not buy.

If you are a consumer with habitual residence in Germany or another EU member state, you have a 14-day right of withdrawal under § 312g and § 355 BGB. Because we deliver access immediately on purchase, this right is lost under § 356 Abs. 5 BGB once the Service has started, provided you have:

• Expressly consented to immediate delivery at checkout.
• Acknowledged that you lose your withdrawal right by doing so.
• Received our confirmation email containing your acknowledgment.

You agree not to use the Service to:

• Violate any law or third-party right.
• Distribute malicious code, conduct phishing, or operate fraud schemes.
• Interfere with the operation of the Service or other users' access to it.
• Reverse-engineer, decompile, or attempt to extract source code from any non-public part of the Service.
• Use automated agents to mass-copy Components in a way that exceeds normal human use.
• Resell access, share credentials, or otherwise grant non-Seat individuals access to the Library.

You may submit your End Product to our Built-with showcase. By submitting, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to display, reproduce, adapt, and distribute your submission on annnimate.com and in our marketing materials (including social posts, the newsletter, the changelog). The license lasts as long as the submission is published or until takedown.

You represent and warrant that you own or have the right to submit the screenshot, URL, and description, and that the submission does not violate third-party rights (including trademark, copyright, privacy, or publicity rights).

We may decline to publish any submission or remove it at any time at our discretion. To request takedown of your own submission or to report an infringement, email support@annnimate.com with the URL and the basis. We review within 14 days.

We may suspend or terminate your account if you breach these Terms, fail to pay, charge back without contacting us first, or use the Service in a way that causes legal or operational risk. Where the breach is curable, we give you notice and a reasonable opportunity to fix it.

You may cancel your Subscription at any time as described in Section 6.3. On cancellation, your access ends at the end of the paid period. Components you copied during the active Subscription remain yours under Section 4.1.

We retain all intellectual-property rights in the Service, the Library, the Landmark Kits, the Components (subject to your license under Sections 4 and 5), the website, the design system, and all related assets. You retain all rights in the End Products you build, including the rights granted to you under the Component license.

The Service and the Components are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and that the Components will integrate with any specific framework version, codebase, or deployment environment.

Nothing in this disclaimer affects mandatory consumer rights you may have under German and EU law that cannot be excluded by contract.

Subject to the consumer carve-outs in the next paragraph, our aggregate liability to you arising from or related to your use of the Service is limited to the fees you paid to us in the 12 months immediately before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity.

Nothing in these Terms limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence or intent, or any liability that cannot be limited or excluded under mandatory German consumer law (§§ 305 ff. BGB) or other mandatory law.

You agree to indemnify, defend, and hold harmless Annnimate, Good Fella Studio GmbH, and our officers, directors, and employees from any third-party claim arising from your misuse of the Service, your breach of these Terms, or any content you submit to the Built-with showcase.

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, civil unrest, government action, internet outages, denial-of-service attacks, or failures of upstream providers (Stripe, Vercel, Supabase). We will give you notice and resume performance once the event ends.

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.

For disputes between us and a business customer (B2B), the competent courts at our registered seat (Amtsgericht Landshut / Landgericht Landshut depending on amount in dispute) have exclusive jurisdiction.

For consumers (B2C) with habitual residence in another EU member state, the mandatory consumer-protection provisions of your jurisdiction continue to apply. You may bring proceedings against us before the courts of your habitual residence and we may bring proceedings against you only there.

The EU Online Dispute Resolution Platform was discontinued on 20 July 2025. The German Universalschlichtungsstelle des Bundes (verbraucher-schlichter.de) is the general consumer arbitration body under § 4 VSBG. We are neither legally obliged nor willing to participate in alternative dispute resolution before a consumer arbitration board.

• Severability — if any clause is held unenforceable, the rest of the Terms remain in force.
• Entire agreement — these Terms (together with the Privacy Policy, Cookie Policy, Refund Policy, and any order confirmation) are the entire agreement between you and us about the Service.
• Language — these Terms are written in English; the English version is binding. A German translation may be provided for convenience.
• No waiver — our failure to enforce any right is not a waiver of that right.
• Assignment — we may assign these Terms to a successor entity in a merger or sale of the business; you may not assign these Terms without our written consent.
